Rachel is a Principal Associate at Enho Grace & Partners, practising in Capital Markets, Corporate & Commercial, and Dispute Resolution.
On the capital markets side, she has carried out due diligence for corporate exercises involving more than 10 companies listed on Bursa Malaysia, working within the disclosure and regulatory requirements that apply to public-listed entities. Her corporate work covers mergers and acquisitions and general commercial transactions, and in disputes she acts in civil and commercial litigation.
Her litigation experience shapes how she drafts and advises. Having seen where agreements break down in practice, she builds that into the documents she prepares and flags risks before they become disputes. She knows businesses need room to move, so rather than defaulting to the most cautious position, she sets out the options, explains the trade-offs of each, and looks for workable solutions that hold up under the law.

- Advised publicly listed companies on share capital reductions, carried out both by way of court-sanctioned process and directly through the Companies Commission of Malaysia (SSM).
- Advised on rights issues and private placements of shares, including the preparation of underwriting agreements.
- Advised publicly listed companies on the preparation of deed polls, circulars to shareholders, and compliance documentation in connection with proposed corporate exercises.
- Advised publicly listed companies on matters arising in connection with extraordinary general meetings and Bursa Malaysia queries relating to proposed corporate exercises.

- Advised on the structuring, drafting and negotiation of share sale and purchase agreements for the acquisition and disposal of private companies across a range of industries.
- Advised clients on shareholders’ agreements and share subscription agreements in connection with corporate acquisitions and restructurings.
- Handles ongoing retainer work for a portfolio of corporate clients, providing day-to-day legal and commercial transaction support.

- Advised on shareholder disputes, including claims involving minority shareholder rights and related civil proceedings.
