Li Sheng is a partner of Enho Grace & Partners and heads the firm’s corporate & commercial, and interest schemes practice. His practice is concentrated on mergers & acquisitions, joint ventures and investments and interest schemes.
Li Sheng commenced his legal career in a leading law firm in Malaysia, focusing on corporate & commercial, mergers & acquisitions and corporate banking. He regularly advised local and foreign clients on a wide range of corporate and commercial matters across multiple industries. His experience includes advising and guiding clients through the acquisition and disposal of companies and assets, joint ventures, investments, legal due diligence, fundraising exercises, regulatory compliance, employment matters, privacy and data protection, and corporate and commercial contracts.

- Advised a local conglomerate on the acquisition of a waste management company from a publicly listed company, with a transaction value of RM700 million.
- Advised a multinational logistics and transportation company on the acquisition of a transportation and warehousing business in Malaysia for a consideration of approximately SGD57 million.
- Advised a Singapore-based renewable energy company on the proposed disposal of its solar project subsidiary.
- Advised a publicly listed EPCC company on its proposed acquisition of a solar company and solar energy assets.
- Advised an agriculture and plantation company on the acquisition of a company for a consideration of RM1.5 million.
- Advised a local vehicle dealer company on the disposal of its vehicle dealership business.
- Advised a Hong Kong-based holding company on the acquisition of a sea transportation company in Malaysia.
- Advised a foreign electric motors manufacturer on the acquisition of an industrial motors and generators company in Malaysia.
- Advised a foreign science and technology company on the acquisition of a company providing food and feed safety solutions in Malaysia.

Joint Ventures & Investments
- Advised a venture capital firm on its investment in a drone technology company involving the subscription of preference shares of up to USD20 million.
- Advised a publicly listed construction company on a joint development agreement for the development of main infrastructure on more than 700 acres of land in the northern region of Malaysia, with an estimated total gross development value exceeding RM1 billion.
- Advised a UK-based water management company on a potential investment in a wastewater project in Malaysia.
- Advised an F&B holding company on its joint venture with a locally incorporated Japanese-owned company.
- Advised on a joint investment arrangement in respect of a Labuan investment bank.
- Assisted a semiconductor manufacturing company in conducting legal due diligence.

Interest Schemes
- Advised a company in the education business on obtaining approval for the registration of an interest scheme under the Interest Schemes Act 2016, the fourth-ever hybrid interest scheme.
- Advised a jewellery company on obtaining approval for the registration of an interest scheme with a fund size of RM10 million.
- Advised companies across a range of industries, including logistics and transportation, beauty and skincare, electrical and electronics, and Halal consultancy, on their proposed applications for the registration of an interest scheme.

Capital Markets
- Advised the principal adviser and the joint lead arrangers on a Sukuk programme of up to RM3.5 billion to be established by a statutory body.
- Advised the principal adviser and lead arranger on the proposed establishment of an Islamic notes issuance programme of up to RM1.5 billion by a solar company.
- Advised the joint principal advisers and joint lead arrangers on the proposed establishment of a Sukuk facility of up to RM310 million by a construction and engineering company.
